Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Arithym computation service, application programming interfaces (APIs), MCP server software, documentation, and related services (collectively, the “Service”) provided by Geometric Data Systems, Inc., a Delaware corporation registered in Minnesota (“Arithym,” “Company,” “we,” “us,” or “our”).

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.

1. Definitions

“Service” means the Arithym computation platform, including the REST API, MCP server, SDK libraries, documentation, and any updates or modifications thereto.

“User,” “you,” or “your” means any individual or entity that accesses or uses the Service.

“API Key” means the unique authentication credential issued to you upon registration.

“Content” means the inputs you submit to the Service and the outputs the Service returns to you.

“Subscription Tier” means the level of service associated with your account (Explorer, Pro, or Engineer), each with distinct usage limits.

“Computational Output” means any mathematical result, value, tolerance bound, precision indicator, or metadata returned by the Service.

2. Account Registration

To use the Service, you must create an account by providing a valid email address and explicitly accepting these Terms. By completing registration, you acknowledge that:

  1. You are at least 18 years of age or the legal age of majority in your jurisdiction.
  2. You have read, understood, and agree to be bound by these Terms and our Privacy Policy.
  3. The information you provide is accurate and complete.
  4. You are responsible for maintaining the confidentiality of your API Key and for all activity that occurs under your account.
  5. You will immediately notify Arithym if you become aware of any unauthorized use of your API Key or account.

Your acceptance of these Terms is recorded with a timestamp at the time of registration. You may not create multiple accounts for the purpose of circumventing usage limits or other restrictions.

API Key Security. Your API Key is shown once upon email verification and cannot be retrieved thereafter. You are solely responsible for storing your API Key securely. Arithym is not liable for any unauthorized access to your account resulting from your failure to safeguard your API Key. Arithym will never ask you for your API Key via email, phone, or any other channel.

3. Service Description

Arithym provides a computation service designed to deliver mathematical results to software applications and AI agents via the Model Context Protocol (MCP) and REST API. The Service accepts numerical and mathematical inputs and returns computed results along with metadata including precision indicators, tolerance bounds, and structural information.

The specific methods, algorithms, processes, architectures, and techniques used by the Service to produce results constitute proprietary trade secrets of Arithym and are not disclosed to Users.

Arithym reserves the right to modify, improve, or change the internal methods and processes of the Service at any time without notice, provided that the external API interface and documented behavior remain materially consistent.

4. Subscription Tiers and Pricing

The Service is offered across the following tiers:

  1. Explorer (Free) — 50 computations per day. All methods available. No credit card required.
  2. Pro ($5/month) — 500 computations per day. All methods available.
  3. Engineer ($20/month) — 2,000 computations per day. All methods available.
  4. Enterprise (Custom) — Custom volume, dedicated support, and SLA. Contact us for pricing.

Arithym reserves the right to modify pricing and usage limits with 30 days’ notice to existing subscribers. Changes take effect at the start of the next billing cycle. Fees are billed monthly in advance through our payment processor (Stripe, Inc.). All fees are non-refundable except as required by applicable law. Arithym is not responsible for any fees, charges, or taxes imposed by your payment method provider.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms. You agree not to:

  1. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, methods, or internal processes of the Service.
  2. Attempt to probe, scan, or test the vulnerability of the Service, or breach any security or authentication measures.
  3. Use the Service to develop a competing product or service, or to benchmark the Service for competitive purposes without prior written consent.
  4. Share, sell, transfer, or sublicense your API Key to any third party.
  5. Circumvent or attempt to circumvent usage limits, rate limits, or access controls.
  6. Use the Service in a manner that could damage, disable, overburden, or impair the Service or interfere with any other party’s use.
  7. Use the Service in connection with any activity that is illegal, fraudulent, or harmful.
  8. Misrepresent the source of outputs — you may not claim that results from the Service were generated by a different system.
  9. Use automated tools to create accounts or generate API Keys in bulk.

6. Intellectual Property

All right, title, and interest in and to the Service — including but not limited to all software, algorithms, methods, processes, architectures, designs, data structures, documentation, trademarks, trade names, and trade secrets — are and shall remain the exclusive property of Arithym. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use the Service in accordance with these Terms.

The name “Arithym,” the Arithym logo, and all related marks are trademarks of Geometric Data Systems, Inc. You may not use these marks without prior written permission.

You retain ownership of your Content. By submitting Content to the Service, you grant Arithym a limited, non-exclusive license to process your Content solely for the purpose of providing the Service to you. Arithym does not claim ownership of your inputs or outputs.

7. Confidentiality and Proprietary Information

The internal workings of the Service — including but not limited to computational methods, data structures, optimization techniques, precision mechanisms, processing pipelines, and architectural decisions — are confidential and proprietary trade secrets of Arithym. You agree not to:

  1. Attempt to discover, reconstruct, or document the internal methods or processes of the Service through observation, testing, analysis of outputs, or any other means.
  2. Publish, disclose, or share any information regarding the internal operation of the Service that you may learn or infer.
  3. Use knowledge gained from the Service to create, assist in creating, or contribute to any competing service, product, or technology.

This confidentiality obligation survives termination of your account and these Terms.

8. Computational Output Disclaimer

IMPORTANT: READ THIS SECTION CAREFULLY.

THE SERVICE PROVIDES MATHEMATICAL COMPUTATIONS AND ASSOCIATED METADATA (INCLUDING TOLERANCE BOUNDS, PRECISION INDICATORS, AND SIGNIFICANT FIGURES) FOR INFORMATIONAL AND COMPUTATIONAL PURPOSES ONLY. COMPUTATIONAL OUTPUTS ARE NOT PROFESSIONAL ADVICE AND SHOULD NOT BE USED AS THE SOLE BASIS FOR ANY DECISION.

While Arithym strives to deliver accurate computational results, you acknowledge and agree that:

  1. No Guarantee of Accuracy. Despite the Service’s design for precision, no computational system is infallible. You are solely responsible for independently verifying all Computational Outputs before relying on them in any application.
  2. Tolerance and Precision Metadata. The Service may provide tolerance bounds (e.g., ± values), significant figures, and precision indicators as metadata accompanying results. This metadata represents mathematically computed error bounds based on standard propagation rules and is provided as a computational aid only. It does not constitute a guarantee, certification, or warranty of accuracy within those bounds.
  3. Not for Safety-Critical Applications. You shall not use the Service as the sole computational authority for any application where computational errors could result in death, personal injury, property damage, environmental harm, or significant financial loss, including but not limited to: medical dosage calculations, structural engineering load calculations, aviation or navigation systems, nuclear facility operations, autonomous vehicle control systems, pharmaceutical manufacturing, or life-support systems. If you choose to use the Service in conjunction with such applications, you do so entirely at your own risk and must implement independent verification systems.
  4. Professional Advice. Arithym is not a financial advisor, engineer, doctor, lawyer, or any other licensed professional. Results from the Service should not be used as a substitute for qualified professional advice.
  5. AI Agent Integration. If you integrate the Service with an AI agent (via MCP or API), you are solely responsible for how that agent interprets, uses, or presents Computational Outputs. Arithym is not liable for any decisions made by AI agents that consume the Service’s outputs.
  6. Approximate Results. Some Computational Outputs are flagged as approximate (e.g., non-special-angle trigonometric values). When the Service indicates a result is approximate, you acknowledge that the result is an approximation and treat it accordingly.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, TIMELINESS, AND NON-INFRINGEMENT.

ARITHYM DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE; (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; OR (E) THE SERVICE WILL BE COMPATIBLE WITH YOUR HARDWARE, SOFTWARE, OR THIRD-PARTY INTEGRATIONS.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM ARITHYM OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ARITHYM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SHAREHOLDERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ARITHYM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, ARITHYM SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM: (A) RELIANCE ON ANY COMPUTATIONAL OUTPUT, TOLERANCE BOUND, OR PRECISION METADATA PROVIDED BY THE SERVICE; (B) ANY DECISIONS MADE BY YOU OR YOUR AI AGENTS BASED ON SERVICE OUTPUTS; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (D) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON OR THROUGH THE SERVICE.

ARITHYM’S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO ARITHYM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

11. Indemnification

You agree to indemnify, defend, and hold harmless Arithym and its officers, directors, employees, agents, shareholders, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or in connection with: (a) your use of or reliance on the Service or any Computational Output; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party right, including any intellectual property or privacy right; (e) any claim that your Content caused damage to a third party; or (f) any use of the Service by your AI agents, automated systems, or downstream applications.

12. Termination

You may terminate your account at any time by contacting support. Arithym may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

  1. Your API Key will be deactivated immediately.
  2. Any outstanding fees become immediately due and payable.
  3. Arithym may delete your account data in accordance with our data retention policies.
  4. Sections 6, 7, 8, 9, 10, 11, and 15 survive termination.

13. Modifications to the Service and Terms

Arithym reserves the right to modify or discontinue the Service (or any part thereof) at any time, with or without notice. We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, your sole remedy is to discontinue use of the Service.

14. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

15. General Provisions

Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, United States, without regard to its conflict of law provisions.

Dispute Resolution and Arbitration. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in the State of Minnesota. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

Class Action Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND ARITHYM AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST ARITHYM.

Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Arithym regarding the Service and supersede all prior agreements and understandings, whether written or oral.

Waiver. The failure of Arithym to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms or your rights under these Terms without the prior written consent of Arithym. Arithym may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Force Majeure. Arithym shall not be liable for any failure or delay in performing its obligations where such failure or delay results from events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemic, epidemic, government action, power failure, internet disruption, or third-party service provider failures.

Third-Party Services. The Service integrates with third-party services (including Stripe for payment processing). Your use of such third-party services is subject to their respective terms and privacy policies. Arithym is not responsible for the availability, accuracy, or practices of third-party services.

Export Compliance. You agree to comply with all applicable export and import control laws and regulations. You shall not use the Service in any country or territory that is subject to a U.S. government embargo or sanctions.

No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights.
